LICENSE AGREEMENT-OFFER

for the right to use the "Dostup.io" Software Complex

"REMOTE SOLUTIONS" Limited Liability Company, OGRN 1247700519021, INN 9703186330 (hereinafter, the "Licensor"), acting in accordance with the legislation of the Russian Federation, addresses this License Agreement-Offer (hereinafter, the "Agreement") to an unlimited circle of persons.

This Agreement constitutes a public offer in accordance with Article 437 of the Civil Code of the Russian Federation. The performance by the User of the actions specified in Section 6 of this Agreement is recognized as full and unconditional acceptance of all its terms in the manner of Article 428 of the Civil Code of the Russian Federation (adhesion contract).

1. Terms and Definitions

1.1. Software Complex (SC) — an object of intellectual property legally owned by the Licensor, representing a combination of computer programs and server infrastructure that function as a single unit for the User to organize a Virtual Private Network (VPN).

1.2. Licensor — "REMOTE SOLUTIONS" Limited Liability Company, which grants a License to the SC under the terms of this Agreement.

1.3. User (Licensee) — a capable natural person who accepts this Agreement for personal, family, domestic, and other needs not related to entrepreneurial activities.

1.4. Parties — the Licensor and the User when mentioned jointly.

1.5. Traffic Routing — a process within which the SC changes the path of the User's network data packets so that traffic from the User's device to a requested resource on the Internet passes through the Licensor's Access Nodes.

1.6. Access Nodes — a component of the SC's server infrastructure to which the User directly connects.

1.7. License — a simple (non-exclusive), personal, non-transferable, and revocable right granted to the User under the terms of this Agreement to use the SC within its functional capabilities, under the terms and for the period defined by the selected Plan, throughout the world.

1.8. Plan — a description published on the Website of the set of conditions for granting the License, including its term of validity, traffic volume, speed limits, and, in the case of a paid Plan, the amount of the license fee.

1.9. Free Plan — a Plan that does not require payment of a license fee and is provided to the User, as a rule, with certain technical limitations (term, traffic volume, access speed) as described on the Website.

1.10. Website — the official website of the Licensor, located on the Internet at https://dostup.io.

1.11. Personal Account — a personalized section of the Website, access to which is carried out by the User after their authentication on the Website.

1.12. Credentials — the User's unique login and password, created during the use of the SC and intended for their authentication when connecting to the Access Nodes.

1.13. Acceptance — the performance by the User of the conclusive actions specified in Section 6, which signifies their full and unconditional agreement with the terms of this Agreement, as well as the Privacy Policy and Payment Policy.

2. Subject of the Agreement

2.1. The Licensor grants the User a License to use the SC in accordance with the terms of this Agreement and the selected Plan.

2.2. The right to use the SC is provided under the "Software as a Service" (SaaS) model.

2.3. Legal status and nature of the right granted:

a) The Parties hereby confirm and agree that the Licensor is not a telecommunications operator, does not provide paid communication services, and does not provide access to the Internet. To use the SC, the User must independently and at their own expense ensure an Internet connection by concluding a separate agreement with a relevant telecommunications operator (Internet service provider).

b) The Licensor is not the owner of communication networks and does not allocate (assign) public IP addresses to Users as a communication service. The public IP addresses used by the Access Nodes belong to hosting providers and are assigned to the equipment on which the SC functions.

c) Traffic Routing is an integral functional feature of the SC provided within the License, and its cost is not billed separately.

d) The SC is intended, among other things, to provide the User with the technical capability to use Russian online services, the functionality of which may be limited for users located outside the Russian Federation. However, the Licensor does not guarantee the availability of any specific third-party resources, as their operation and access policies are beyond the Licensor's control.

e) The entire server infrastructure of the SC is located in data centers situated within the territory of the Russian Federation and certified in accordance with the applicable legislation of the Russian Federation.

f) The SC is not intended for circumventing blocks on information resources, committing illegal acts, or gaining access to information whose distribution is restricted or prohibited in the Russian Federation.

3. Intellectual Property

3.1. All exclusive rights to the SC, including its components, the design and content of the Website, belong to the Licensor.

3.2. The User is prohibited from copying, decompiling, modifying, distributing, or otherwise using the SC in ways not expressly permitted by this Agreement.

4. User's Representations and Warranties

4.1. By accepting this Agreement, the User represents and warrants that they:

a) are a capable person who has reached the age required by the legislation of the Russian Federation to conclude such agreements;

b) have carefully read and fully agree to the terms of this Agreement, the Privacy Policy, and the Payment Policy;

c) will use the SC exclusively for lawful purposes;

d) will not use the SC to circumvent lawful blocks, access prohibited information, or commit other unlawful acts;

e) undertake to strictly comply with the Acceptable Use Policy (Section 7).

5. Rights and Obligations of the Parties

5.1. User's Rights:

5.1.1. To use the SC in accordance with the terms of this Agreement and the selected Plan.

5.1.2. To access their Personal Account to manage their Subscription.

5.1.3. To contact the Licensor's technical support service.

5.1.4. To cancel the renewal of the License at any time by disabling auto-renewal in the Personal Account.

5.1.5. To receive information about the status of their License, payment history, and the current terms of the Agreement in the Personal Account.

5.1.6. To request the deletion of their account and associated information in the manner provided by the Privacy Policy.

5.2. User's Obligations:

5.2.1. To use the SC in strict accordance with its intended purpose and the terms of this Agreement.

5.2.2. To ensure the confidentiality of their Credentials.

5.2.3. To timely pay the license fee, if provided for by the selected Plan.

5.2.4. To provide a valid email address and keep it up to date.

5.3. Licensor's Rights:

5.3.1. To immediately suspend or terminate the License in the event of the User's violation of any provision of this Agreement.

5.3.2. To modify the SC, change the configuration of Access Nodes, and technical parameters to improve the stability and security of the service.

5.3.3. To conduct scheduled maintenance, which may result in a temporary suspension of the SC's operation.

5.3.4. To provide information about the User to authorized state bodies upon a lawful and justified request.

5.4. Licensor's Obligations:

5.4.1. To provide the User with access to the functionality of the SC after the User's Acceptance.

5.4.2. To use commercially reasonable efforts to maintain the functionality of the SC.

5.4.3. To timely notify the User of scheduled maintenance that may significantly affect the availability of the SC, by publishing information on the Website or sending a notification via email.

5.4.4. To take necessary and sufficient organizational and technical measures to protect the User's data in accordance with the Privacy Policy and the requirements of the legislation of the Russian Federation.

6. Acceptance of the Agreement

6.1. The User's registration of an account on the Website is recognized as the Acceptance of this Offer. By registering, the User confirms their full and unconditional agreement with all the terms of this Agreement.

6.2. The payment of the license fee in accordance with the selected Plan is not part of the Acceptance but constitutes the performance by the User of the obligations assumed under the Agreement to obtain the right to use the SC under the terms of a paid Plan.

7. Acceptable Use Policy (AUP)

7.1. When using the SC, the User is strictly prohibited from:

a) Distributing information that violates the legislation of the Russian Federation (extremism, terrorism, pornography, drug propaganda, etc.).

b) Conducting unauthorized mass messaging (spam).

c) Carrying out network attacks (DoS/DDoS), port scanning, or hacking attempts.

d) Committing any fraudulent acts (phishing, data theft).

e) Distributing malicious software.

f) Infringing on the intellectual property rights of third parties.

g) Creating excessive "parasitic" load on the SC's infrastructure (e.g., cryptocurrency mining).

h) Reselling or otherwise transferring access to their account to third parties.

i) Using the SC to circumvent blocks or gain access to resources whose access is restricted within the territory of the Russian Federation by a decision of authorized bodies.

7.2. A violation of any point of the AUP constitutes a material breach of the Agreement and entails the immediate blocking of the account and termination of the Agreement without a refund of any fees paid.

8. License Fee and Plan Conditions

8.1. The amount of the fee for the right to use the SC is determined by the Plans published on the Website. A number of Plans may require payment of the license fee on a 100% prepayment basis.

8.2. The Licensor has the right to provide a Free Plan, under which the right to use the SC is granted to the User without charging a license fee.

8.3. Specifics of using the SC under the Free Plan:

a) The right to use the SC under the Free Plan is provided to the User "AS IS" and is intended primarily for evaluation purposes.

b) The Licensor does not guarantee any specific level of availability, speed, or quality of the SC for users of the Free Plan.

c) The Licensor reserves the right at any time, with prior notification by publishing information on the Website, to change the terms of the Free Plan (including traffic limits and other parameters) or to discontinue it entirely.

d) Technical support for users of the Free Plan is provided on a last-priority basis and in a limited scope, or may not be provided at all at the Licensor's discretion.

8.4. The payment procedure is regulated by the "Payment Policy". VAT is not charged due to the Licensor's use of the Automated Simplified Taxation System.

9. Data Collection and Storage (Logging Policy)

9.1. No-Logs of Internet Activity. The Licensor does not monitor, log, or store information about the User's activities on the Internet. Specifically, the Licensor does not collect:

a) DNS queries;

b) Visited websites and IP addresses of resources;

c) The content of transmitted traffic.

9.2. Collection of Operational Metadata. To ensure the operation of the Service, for billing purposes, and to comply with legal requirements, the Licensor collects and stores limited technical (session) metadata, including:

a) The User's system login;

b) The IP address of the Access Node;

c) The User's IP address;

d) The start and end time of the session;

e) The volume of traffic.

9.3. By accepting this Offer, the User confirms that they have read and agree to this logging policy, understanding the distinction between Internet activity logs (which are not kept) and operational metadata (which are stored).

9.4. The detailed procedure for processing personal data is set out in the "Privacy Policy".

10. Liability of the Parties and Limitation of Warranties

10.1. The SC is provided on an "AS IS" and "AS AVAILABLE" basis. This condition means that the Licensor provides no warranties regarding the error-free and uninterrupted operation of the SC, its compatibility with the User's hardware and software, or its suitability for the User's purposes.

10.2. The Licensor is not liable for:

a) The actions or inactions of the User's Internet service provider or data center operators.

b) Any indirect damages, lost profits, or loss of data.

c) Any consequences of the User's use of the SC for purposes that violate the legislation of the Russian Federation.

10.3. The Licensor's total liability under this Agreement is limited to the amount of the fee paid by the User for the last reporting period. In the event that the right to use the SC was granted to the User free of charge (under the Free Plan), the Licensor's liability for any type of damage is excluded to the maximum extent permitted by applicable law.

10.4. The User bears sole responsibility for all their actions when using the SC, including actions that violate legislation and/or the rights of third parties. The Licensor is not liable for such actions of the User and is not a proper defendant in any claims or lawsuits arising from such actions.

11. Term and Termination of the Agreement

11.1. The Agreement comes into force from the moment of Acceptance and is valid for an indefinite period until terminated by one of the Parties.

11.2. The User has the right to refuse the renewal of a paid License at any time. The User also has the right to terminate this Agreement at any time by deleting their account through the Personal Account.

11.3. The Licensor has the right to terminate the Agreement unilaterally in the event of the User's violation of its terms, particularly the AUP.

12. Dispute Resolution

12.1. This Agreement and the relations between the Parties are governed by the law of the Russian Federation.

12.2. The Parties will strive to resolve all disputes and disagreements arising from this Agreement through negotiations. A pre-trial claim procedure is mandatory. The response time to a written claim is 30 (thirty) calendar days from the moment of its receipt.

12.3. If an agreement is not reached, the dispute shall be submitted to a court at the Licensor's location, unless otherwise expressly provided by the mandatory norms of the consumer protection legislation of the Russian Federation.

13. Final Provisions

13.1. The Licensor has the right to unilaterally amend the Offer. The new version comes into force from the moment of its publication on the Website.

13.2. The Parties recognize the legal validity of correspondence by email.

13.3. If one or more provisions of the Agreement are deemed invalid, this does not invalidate the remaining provisions.
